These Terms of Service (“Terms”) are an agreement between you and Alcidor Tech, LLC (“Alcidor Tech,” “we,” “us,” or “our”). They govern your use of our livestream chat management service, available at tkcchat.alcidortech.com and other alcidortech.com addresses we may use for it (the “Service”).
By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a church, ministry, or other organization (an “Organization”), you confirm that you are authorized to accept these Terms for that Organization, and “you” includes the Organization.
1. The Service
The Service lets Organizations bring the live chats and comments from their YouTube and Facebook livestreams into one dashboard. Authorized operators can read and post messages, hide or delete comments, ban or block users, use saved and scheduled messages, refer viewers to the Organization’s follow-up team, and keep a log of operator activity. Some features use Planning Center and other third-party services.
We may add, change, or remove features. When a change significantly reduces the Service’s core features, we will try to give Organizations reasonable advance notice.
2. YouTube and other third-party platforms
- YouTube. The Service uses YouTube API Services. By using the Service, you agree to be bound by the YouTube Terms of Service. Google’s handling of information is described in the Google Privacy Policy.
- Facebook. Features connected to Facebook are subject to Meta’s Terms of Service and Meta’s policies.
- Planning Center, Clerk, and others. Your use of connected services is also subject to their own terms.
We do not control these platforms. Their outages, policy changes, API limits (such as YouTube’s daily usage limits), or decisions about your accounts may affect the Service, and we are not responsible for them.
3. Accounts and access
- Operators and administrators sign in through our sign-in provider, using Planning Center or another supported method. Some Organizations let operators select their name on a shared, administrator-signed-in station.
- Organizations decide who may access the Service and what role each person has (for example, Operator, Admin, or Super Admin). They are responsible for keeping roles current and for removing access for people who no longer serve.
- Keep your sign-in credentials secure, and tell us right away if you believe your account has been used without permission.
- Operators under 18 may use the Service only with the permission and supervision of their Organization.
4. Organization responsibilities
Each Organization is responsible for:
- having the authority to connect the YouTube channels, Facebook Pages, and Planning Center accounts it links to the Service;
- all messages posted and all moderation actions taken through the Service by its operators, which appear publicly as coming from the Organization;
- following YouTube’s and Facebook’s community guidelines and policies in its livestreams and chats;
- handling referral information about viewers lawfully and respectfully, including following up only through appropriate channels; and
- making sure its own website, forms, and follow-up processes have appropriate privacy notices.
5. Acceptable use
You agree not to use the Service to:
- post spam, harassment, hate speech, sexually explicit material, or content that is unlawful or infringes others’ rights;
- impersonate any person or misrepresent your affiliation with an Organization;
- collect viewers’ personal information in ways that violate the law or platform policies;
- interfere with, disrupt, overload, or try to gain unauthorized access to the Service or connected platforms;
- reverse engineer, copy, or resell the Service, except as the law expressly allows; or
- use the Service in violation of the YouTube Terms of Service, Meta’s terms, or any applicable law.
We may suspend or limit access that violates this section or puts the Service, other users, or connected platforms at risk.
6. Content and data
- Your content. Organizations keep ownership of the messages, templates, schedules, and other content they create in the Service (“Organization Content”). You give us permission to host, process, transmit, and display Organization Content only as needed to provide and improve the Service.
- Viewer content. Chat messages and comments from viewers belong to their authors and are handled according to the platforms’ terms and our Privacy Policy.
- Data handling. We handle personal information as described in our Privacy Policy. Chat data from YouTube and Facebook is kept for no more than 30 days.
- Feedback. If you send us suggestions or feedback, we may use them without any obligation to you.
7. Our intellectual property
The Service, including its software, design, and branding, belongs to Alcidor Tech and its licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the Service while you comply with these Terms. They do not give you any other rights to it.
8. Fees
The Service may be provided free of charge or for fees agreed in a separate order or agreement with an Organization. If fees apply, the payment terms in that order or agreement govern. We will give reasonable notice before introducing fees for features that were previously free.
9. Suspension and termination
- You may stop using the Service at any time. An Organization may close its account by contacting us.
- We may suspend or end access if you violate these Terms, if required by law or a connected platform, or if we stop offering the Service. When reasonable, we will give advance notice.
- When an account is closed, we revoke connected platform access and delete data as described in our Privacy Policy and on our Data Deletion page. Organizations that want a copy of their operator logs should request it before closing their account.
- Sections 6 through 12 continue to apply after termination.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT ALLOWED BY LAW, ALCIDOR TECH DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT EVERY CHAT MESSAGE WILL BE DELIVERED OR DISPLAYED, OR THAT CONNECTED PLATFORMS WILL CONTINUE TO MAKE THEIR FEATURES AVAILABLE.
11. Limitation of liability
TO THE FULLEST EXTENT ALLOWED BY LAW:
- ALCIDOR TECH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST DATA, REVENUE, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE; AND
- ALCIDOR TECH’S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT THE ORGANIZATION PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Indemnification
Each Organization agrees to defend and indemnify Alcidor Tech against claims, losses, and expenses (including reasonable attorneys’ fees) arising from its operators’ posts and moderation actions, its use of referral information, or its violation of these Terms or any connected platform’s terms.
13. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Orange County, Florida, and you and Alcidor Tech consent to those courts’ jurisdiction. Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other in writing and allowing 30 days for a response.
14. Changes to these Terms
We may update these Terms from time to time. We will post the updated version on this page and change the effective date above. If the changes are significant, we will notify Organizations by email or in the Service. Continuing to use the Service after changes take effect means you accept the updated Terms.
15. General
These Terms, together with our Privacy Policy and any separate order or agreement with an Organization, are the entire agreement about the Service. If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition, or sale of assets.
